Stephen Silverman Corporate and Transactional Law

Stephen A. Silverman, co-founder of the Silverman & Milligan LLP, focuses on representing clients in complex negotiations. His corporate and transactional practice experience includes representing founders and their start-up companies, emerging and mature companies in corporate securities and other financing transactions, including private placement, venture capital financing, and corporate transactions, including mergers and acquisitions and corporate finance. He counsels boards, committees and management on corporate governance and strategic litigation management and has extensive experience in representing clients on insurance-related matters. Mr. Silverman has served as general outside corporate counsel for a number of current and former public companies including PennCorp Financial, Inc. (NYSE), Todd Shipyards Corporation (NYSE) and DeCrane Aircraft Holdings, Inc. (OTC). Among others, Mr. Silverman has represented clients in a broad range of private placements, structured financings, complex partnerships, going public, going private, transactions with complex insurance issues, unique buyouts, on-line/internet based businesses (since the beginning of the ".com" era), and fast growing recent start-up companies with challenging and unique financing and capital needs. Prior to founding the Firm, Mr. Silverman was in private practice, initially as co-head of the Securities and Transactional Department of the Los Angeles law firm of Wyman Bautzer Kuchel & Silbert and subsequently as the founding partner of Spolin and Silverman, where he remained in private practice for 25 years prior to founding this Firm. Mr. Silverman served as Senior Executive Vice President and Chief Counsel of PennCorp. Financial, Inc. for more than 10 years. He has participated in numerous insurance-related litigation matters and the acquisition of more than 100 insurance agencies and has advised to insurance companies on a broad range of issues over the past 35 years. Formerly he was Chief Counsel for Penn Corp. Financial, Inc. (NYSE) and General Counsel for Todd Shipyards Corporation (NYSE). Steve Silverman initially worked at two boutique Los Angeles law firms after his law school graduation: Gendel Raskoff Shapiro & Quittner (where his practice was both the representation of parties in Chapter 11 proceedings and of major auctioneers) and then at Greenberg, Shafton & Bernhard, where he began his career in M&A and other transactions. Mr. Silverman earned his JD from University of Southern California (1966) where he was Staff Member, Southern California Law Review, 1965-1966.
