Patricia Seasor Bailey concentrates her practice on general business matters, particularly health care businesses, business succession, and estate planning and probate matters. Ms. Bailey deals with business formation, business operational issues (including contract drafting and review, leases, mergers and acquisitions, dispositions, etc.), real estate matters (real estate sales and purchases, due diligence, leases, etc.), and specialty health care business matters (including matters relating to nursing homes, acquisitions or dispositions thereof, leases, reimbursement and assisted living facilities). On the estate planning and probate side, Ms. Bailey works with individuals, including business owners, to establish and document a plan for the management of assets in the event of incompetency, for the transfer of assets upon death and for the direct or indirect gifting of assets during a lifetime. This can include creation of entities or restructuring of entities to ensure that the recipients are adequately protected or that the assets (including a family business or other business) are protected from the recipient. As to business succession matters, Ms. Bailey deals with business owners in connection with the transfer of ownership or control of a business, including structural matters, relational concerns, ESOP shareholder representation, etc.
